TERMS OF SERVICE

Governing the Access to and Use of the Daily Tab Attendance Management Platform

1. Acceptance of Terms and Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Daily Tab ("Service Provider," "we," "us," or "our") and the educational institution or authorized user ("College," "Admin," "Teacher," or "User") that accesses or uses the Daily Tab digital attendance management platform at dailytab.app ("Platform"). Access to or use of the Platform in any manner constitutes unconditional acceptance of these Terms in their entirety. If you do not agree to be bound by these Terms, you must immediately cease all access to and use of the Platform.

These Terms are intended to be enforceable under the applicable laws of the jurisdiction in which the College is domiciled. To the extent that any provision of these Terms is inconsistent with mandatory provisions of applicable law, the requirements of applicable law shall prevail to the minimum extent necessary.

2. Eligibility and Access

2.1 Institutional Eligibility

The Platform is available exclusively to: (i) undergraduate degree-granting colleges and universities; and (ii) postgraduate degree-granting colleges and universities. The Platform is not available to high schools, secondary schools, primary schools, vocational training institutes, coaching centers, or any institution that is not a recognized degree-granting tertiary educational institution. Daily Tab reserves the right, in its sole and absolute discretion, to verify institutional eligibility and to deny or revoke access to any institution that does not satisfy the foregoing criteria, without prior notice or liability.

2.2 Access by Invitation Only

Access to the Platform is granted exclusively by invitation from Daily Tab. Institutions seeking access must contact Daily Tab directly. Daily Tab reserves the right to accept or decline any access request in its sole discretion and without obligation to provide reasons for such decision. Unauthorized access to or use of the Platform is strictly prohibited.

2.3 Account Creation and Management

Admin accounts are created by Daily Tab upon confirmed onboarding of a College. Admins are solely responsible for creating and managing Teacher accounts within their College. Each account is personal, non-transferable, and may only be used by the individual for whom it was created. Sharing of account credentials is strictly prohibited. Each User is responsible for all activities conducted through their account and must notify Daily Tab immediately upon becoming aware of any unauthorized account access.

2.4 Geographic Restrictions

Daily Tab makes no representation that the Platform is appropriate or available for use in all jurisdictions. It is the responsibility of each College to ensure that its use of the Platform complies with all applicable laws in its jurisdiction, including data protection, education, and telecommunications laws.

3. License Grant

Subject to full compliance with these Terms, Daily Tab grants the College a limited, non-exclusive, non-transferable, revocable, royalty-free license to access and use the Platform solely for the College's internal attendance management purposes. This license expressly excludes:

• Sublicensing, selling, reselling, or otherwise transferring access to the Platform to any third party.

• Copying, reproducing, distributing, or creating derivative works based upon the Platform or any component thereof.

• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Platform.

• Framing or mirroring the Platform on any other website or server.

• Accessing the Platform for the purpose of building a competitive or substantially similar product or service.

• Using automated scripts, bots, crawlers, or scraping tools to access or extract data from the Platform.

4. Acceptable Use

Users agree to use the Platform solely for its intended lawful purpose of digital attendance management. The following conduct is strictly prohibited:

• Entering false, fabricated, fraudulent, or deliberately inaccurate attendance records or any other data.

• Attempting to access, view, copy, or modify data belonging to any other College or User.

• Attempting to circumvent, disable, bypass, or interfere with any security feature, access control, or data isolation mechanism of the Platform.

• Using the Platform in any manner that causes or could cause damage to, impairment of, or overloading of the Platform infrastructure.

• Uploading, transmitting, or introducing any virus, malware, ransomware, or other harmful or malicious code.

• Using the Platform in violation of any applicable local, national, or international law, including data protection, privacy, and intellectual property laws.

• Impersonating any individual or entity, or misrepresenting affiliation with any person or institution.

• Using the Platform to store, process, or transmit any unlawful, defamatory, harassing, or infringing content.

5. College Responsibilities and Warranties

5.1 Data Accuracy and Integrity

The College is solely responsible for the accuracy, completeness, and lawfulness of all data entered into the Platform, including student names, roll numbers, and attendance records. Daily Tab does not verify the accuracy of Institutional Data and assumes no responsibility for errors, omissions, or inaccuracies therein.

5.2 Legal and Regulatory Compliance

The College warrants that its use of the Platform and submission of personal data thereto fully complies with all applicable laws in its jurisdiction, including data protection, privacy, education, and employment laws. The College warrants that it has obtained all consents, approvals, notifications, and authorizations required by applicable law prior to submitting any personal data to the Platform. The College further warrants that it is authorized to act as Data Controller in respect of all Institutional Data.

5.3 Credential and Access Security

The College is responsible for ensuring that all authorized users maintain the confidentiality and security of their login credentials. The College must promptly revoke access of any Teacher or Admin who ceases to be authorized to access the Platform, including upon termination of employment or affiliation.

5.4 Age and Consent Compliance

Where the College submits personal data of individuals who are minors under applicable law (including students under eighteen (18) years of age in many jurisdictions), the College warrants that it has obtained all legally required parental or guardian consents and has fulfilled all notification obligations required by applicable law.

6. Service Availability, Modifications, and Discontinuation

Daily Tab will make reasonable commercial efforts to maintain Platform availability. However, Daily Tab does not warrant continuous, uninterrupted, or error-free access to the Platform. Planned maintenance will be communicated to Colleges in advance wherever practicable. Daily Tab reserves the right to modify, update, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice. Daily Tab shall not be liable for any modification, suspension, or discontinuation of the Platform.

7. Free Service, No Warranty, and Disclaimer

THE PLATFORM IS CURRENTLY PROVIDED FREE OF CHARGE AND IS OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, OR NON-INFRINGEMENT. DAILY TAB DOES NOT WARRANT THAT THE PLATFORM WILL MEET ALL OF THE COLLEGE'S REQUIREMENTS, THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES, OR THAT THE PLATFORM WILL BE COMPLETELY FREE FROM ERRORS, BUGS, OR SECURITY VULNERABILITIES.

Some jurisdictions do not permit the exclusion of certain implied warranties. In such jurisdictions, the foregoing exclusion shall apply to the fullest extent permitted by applicable law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAILY TAB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF DATA, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE ACCESS TO OR USE OF, OR THE INABILITY TO ACCESS OR USE, THE PLATFORM, EVEN IF DAILY TAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, Daily Tab shall not be liable under any theory for: (i) inaccuracies in attendance records or other data entered by Users; (ii) loss of data arising from technical failures outside Daily Tab's reasonable control; (iii) unauthorized access to Institutional Data resulting from a College's failure to maintain credential security; (iv) regulatory penalties, fines, or enforcement actions imposed on a College for failure to comply with applicable data protection laws; or (v) any claim by a student, staff member, or third party arising from the College's use of the Platform.

To the extent that applicable law in any jurisdiction requires a minimum level of liability, Daily Tab's total aggregate liability to any College under or in connection with these Terms shall not exceed the amount of fees paid by the College to Daily Tab in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

The College agrees to defend, indemnify, and hold harmless Daily Tab and its officers, directors, employees, and agents from and against any and all claims, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or in any way connected with: (i) the College's breach of these Terms or any applicable law; (ii) the College's failure to comply with applicable data protection obligations in respect of Institutional Data; (iii) any claim by a data subject, regulatory authority, or third party arising from the College's use of the Platform; or (iv) any inaccuracy, unlawfulness, or irregularity in data submitted by the College to the Platform.

10. Intellectual Property

The Platform, including all software, algorithms, designs, trademarks, trade names, logos, and content comprising the Platform, is the exclusive intellectual property of Daily Tab and is protected by applicable intellectual property laws globally. Nothing in these Terms grants the College any ownership right, title, or interest in the Platform or any component thereof.

The College retains full ownership of all Institutional Data submitted to the Platform. The College grants Daily Tab a limited, non-exclusive license to process Institutional Data solely to the extent necessary to provide the Platform and as described in the Privacy Policy.

11. Termination

11.1 Termination by Daily Tab

Daily Tab may suspend or permanently terminate a College's access to the Platform at any time, with or without cause and with or without notice, including for breach of these Terms, conduct detrimental to the Platform, ineligibility under Section 2, or non-compliance with applicable law.

11.2 Termination by College

A College may terminate its use of the Platform at any time by providing written notice to Daily Tab. Upon termination, the College may submit a written data deletion request, and Daily Tab will permanently delete all Institutional Data within thirty (30) calendar days.

11.3 Effect of Termination

Upon termination for any reason, all licenses granted under these Terms shall immediately cease. Sections 7, 8, 9, 10, 12, and 13 shall survive termination indefinitely.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the College is domiciled, without regard to conflict of law principles. In the event of a dispute between Daily Tab and a College arising from or in connection with these Terms, the parties shall first attempt to resolve such dispute through good-faith negotiation within thirty (30) days of written notice from the aggrieved party. If the dispute cannot be resolved through negotiation, it shall be referred to mediation before the initiation of any formal legal proceedings. Nothing in this clause shall prevent either party from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any Institutional Data Agreement executed between the parties, constitute the entire agreement between Daily Tab and the College with respect to the Platform and supersede all prior communications, representations, and agreements relating to the subject matter hereof.

13.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.

13.3 Waiver

No failure or delay by Daily Tab in exercising any right or remedy under these Terms shall operate as a waiver of such right or remedy.

13.4 Amendments

Daily Tab reserves the right to amend these Terms at any time. Material amendments will be communicated to Colleges by email no fewer than fourteen (14) days before the effective date. Continued use of the Platform after notification constitutes acceptance of the amended Terms.

13.5 Assignment

The College may not assign or transfer its rights or obligations under these Terms without the prior written consent of Daily Tab. Daily Tab may assign or transfer its rights under these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, with notice to affected Colleges.

13.6 Language

These Terms are prepared in English. In the event of any conflict between an English version and any translation, the English version shall prevail.
